Today, Synlogic and Caldera Therapeutics announced a definitive merger agreement and a concurrent upsized private placement expected to generate approximately $278 million in gross proceeds. The proposed transaction is expected to provide the capital to advance CLD-423, our potential first-in-class TL1A x IL-23p19 bispecific antibody, through Phase 2 clinical trials in ulcerative colitis and Crohn's disease, while supporting continued development in additional immune-mediated diseases. Upon closing of the proposed transaction, the combined company will operate as Caldera Therapeutics and intends to apply to list on the Nasdaq Capital Market under the ticker symbol CALD. Today, Caldera Therapeutics officially launched with $112.5 million in total capital raised and announced that the first subjects have been dosed in the Phase 1 trial of CLD-423, its first-in-class bispecific antibody for inflammatory bowel disease (IBD). CLD-423 combines two clinically validated pathways, IL-23p19 and TL1A, into a single molecule, with the goal of redefining the efficacy bar in IBD while maintaining optimized safety and developability.
